1. Definitions

In these Terms and Conditions, the following terms have the meanings set out below:

  • "We," "Us," "Our," "Heritor" — Heritor, a family business advisory practice operating from Bangkok, Thailand
  • "You," "User," "Client" — any person or entity that accesses our website or engages us for advisory services
  • "Services" — the family business governance and continuity advisory services described on our website and in individual engagement agreements
  • "Engagement" — a specific advisory service agreed between Heritor and a Client, with its own scope, fee, and output
  • "Website" — the website at https://heritor.biz and all pages under it
  • "Agreement" — these Terms and Conditions, together with any engagement-specific agreement between the parties
  • "Content" — all text, documents, written outputs, and materials produced by Heritor in connection with an engagement

2. Acceptance of Terms

By accessing our website or by engaging us for advisory services, you agree to be bound by these Terms and Conditions. If you do not agree, please do not use the website or proceed with an engagement.

Our services are intended for individuals aged 18 and above who have the legal capacity to enter into a binding agreement. By proceeding, you represent that you meet these requirements.

3. Description of Services

Heritor provides senior advisory services to family businesses, covering governance architecture, facilitated continuity conversations, and one-to-one coaching for dual-role family managers. Our services are described in detail on our website and in individual engagement agreements.

Our advisory services are available primarily to clients based in Thailand, with engagements delivered in Bangkok unless otherwise agreed. We may at our discretion work with clients outside Thailand on a case-by-case basis.

We do not provide legal advice, tax advice, or financial planning services. Our work is advisory in nature and does not constitute the regulated practice of law or any other licensed profession.

4. User Responsibilities

4.1 Website use

When using our website, you agree to:

  • Access the site only for lawful purposes and in a manner consistent with these Terms
  • Not attempt to access restricted areas of the site or to interfere with its operation
  • Not use the site to transmit harmful, offensive, or misleading content
  • Provide accurate information when submitting enquiries through the contact form

4.2 Engagement participation

Where you engage us for advisory services, you agree to:

  • Provide accurate and complete information relevant to the engagement scope
  • Attend or arrange the attendance of relevant family members and managers as agreed in scoping
  • Respond to correspondence and scheduling requests in a timely manner
  • Pay engagement fees in accordance with Section 6

5. Intellectual Property

All content on the Heritor website — including text, design, layout, and methodology descriptions — is the property of Heritor and is protected by applicable intellectual property law.

Written outputs produced in the course of an engagement (including governance architecture documents, session records, and thematic readings) are provided to the client for their own use. The client may not reproduce, distribute, or publish these documents for commercial purposes without our written agreement.

Our advisory methodology, facilitation approach, and document frameworks remain the intellectual property of Heritor. Engagement outputs are licensed to the client for personal and internal business use.

6. Payment Terms

Engagement fees are as stated on our website and in the engagement agreement. All fees are quoted and payable in Thai Baht (฿).

6.1 Payment schedule

  • An engagement commences upon receipt of a signed engagement agreement and a deposit of 50% of the engagement fee
  • The remaining 50% is due upon completion of the engagement, before the final written output is delivered
  • For the Family-Manager Conversation Coaching engagement, the full fee is due before the first session

6.2 Payment methods

We accept bank transfer to our Thai bank account. Details are provided in the engagement agreement.

6.3 Cancellation and refunds

  • If a client cancels an engagement before any sessions have been held, the deposit will be refunded in full
  • If a client cancels after one or more sessions have been held, fees for sessions already delivered are non-refundable
  • If Heritor is unable to complete an engagement due to circumstances within our control, we will refund fees for any sessions not yet delivered

7. Engagement-Specific Terms

7.1 Scope and changes

The scope of each engagement is agreed in writing before the engagement commences. Any material change to scope — additional interviews, additional sessions, or a change in the family or business context — will be discussed and, if agreed, reflected in a revised engagement agreement and fee.

7.2 Scheduling

We will make reasonable efforts to accommodate the scheduling preferences of the client. Where sessions need to be rescheduled, we ask for at least 48 hours' notice where possible. Sessions cancelled with less than 24 hours' notice may be counted as delivered for the purposes of fee calculation.

7.3 Written outputs

Written outputs (governance architecture documents, session records, thematic readings) are delivered in English unless otherwise agreed. They are shared digitally and remain confidential to the client.

8. Confidentiality

We treat all information shared within an engagement as strictly confidential. We do not disclose client names, business situations, or engagement content to third parties. This obligation continues after the close of an engagement.

We ask that clients treat information shared by Heritor — including our methodology, document frameworks, and any third-party materials referenced in the engagement — as confidential and not for external distribution.

9. Disclaimers

Our advisory services are provided in good faith and with reasonable professional care. However, we make no representation that any particular outcome will result from an engagement. Family governance and continuity work involves complex human, legal, and business factors that are outside our control.

Our services do not constitute legal advice, tax advice, financial advice, or psychological services. We are not a law firm, accounting firm, or licensed psychological practice. Clients should seek appropriate professional advice from licensed practitioners for matters in those fields.

The website is provided on an "as available" basis. We do not warrant that it will be free of errors, interruptions, or security vulnerabilities.

10. Limitation of Liability

To the fullest extent permitted by Thai law, Heritor's total liability to you in connection with any engagement or use of the website shall not exceed the total fees paid by you for the engagement in question.

We are not liable for indirect, consequential, special, or incidental damages arising from the use of our services or website, including loss of business, loss of revenue, or damage to relationships — even if we have been advised of the possibility of such damages.

Nothing in these terms limits our liability for fraud, wilful misconduct, or any liability that cannot be excluded by law.

Force majeure

We are not liable for delays or failures in performance resulting from causes outside our reasonable control, including natural events, public health measures, government action, or failures of third-party services.

11. Indemnification

You agree to indemnify and hold harmless Heritor and its personnel from any claims, losses, damages, or expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of our website, or any false or misleading information you provide in connection with an engagement.

12. Termination

Either party may terminate an engagement by written notice if the other party materially breaches the engagement agreement and fails to remedy that breach within 14 days of notice.

We may also terminate an engagement if we determine in good faith that continuing the engagement would be contrary to professional ethics or to the wellbeing of the individuals involved.

On termination, fees for sessions already delivered are payable. Sections 5 (Intellectual Property), 8 (Confidentiality), 9 (Disclaimers), 10 (Limitation of Liability), 11 (Indemnification), and 13 (Dispute Resolution) survive termination.

13. Dispute Resolution

These Terms and any engagement entered into under them are governed by the laws of Thailand.

In the event of a dispute, the parties agree to first attempt to resolve the matter informally through direct discussion. Either party may initiate this process by written notice to the other, and the parties will attempt to reach agreement within 30 days.

If informal resolution is not achieved, disputes will be subject to the exclusive jurisdiction of the courts of Bangkok, Thailand.

14. General Provisions

  • Entire agreement — these Terms, together with any engagement agreement, constitute the entire agreement between the parties regarding the subject matter and supersede all prior discussions
  • Severability — if any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force
  • Waiver — failure to enforce any provision is not a waiver of the right to enforce it at a later time
  • Assignment — you may not assign your rights or obligations under these Terms without our written consent; we may assign our rights with reasonable notice
  • Notices — notices under these Terms should be sent by email to [email protected]

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. For material changes, we will take reasonable steps to give notice — for example, by placing a notice on the website.

Your continued use of the website or engagement of our services after any change constitutes your acceptance of the updated Terms.
